BlueBiz

1. Definitions

Unless explicitly stated otherwise, the capitalized terms appearing in these General Conditions will have the following definitions.

Air France: Société Air France, a limited liability company with a capital of 126,748,775 euros under French law. Its head office is located at 45, rue de Paris, 95747 Roissy CDG Cedex, France. It is registered with the Registre du Commerce et des Sociétés de Bobigny under the number 420 495 178.

KLM: Koninklijke Luchtvaart Maatschappij NV (KLM Royal Dutch Airlines), a limited liability company under Dutch law. Its head office is located at Amsterdamseweg 55, Amstelveen, Netherlands. It is registered with the Amsterdam Chamber of Commerce and Industry under the number 33014286.

Commercial Agreement: the contract concluded between Air France, KLM, Delta, and a company that defines the fare conditions applicable for company employees who are traveling on flights operated by Air France and/or KLM and/or Participating Airlines.

Administrator: an employee of a Member Company who has been designated by the company to manage its BlueBiz account on its behalf and to represent the said company within the BlueBiz Program framework.

Travel agency: an IATA or non-IATA travel agency or tour operator.

Other BlueBiz Benefits: advantages other than BlueBiz Awards and Awards Paid Options that are obtained with Blue Credits.

Other Airline Partners: airlines designated by Air France and KLM as airline partners. It is possible to earn Blue Credits and/or obtain BlueBiz Awards Tickets on flights operated by these airlines under the conditions described in BlueBiz Publications. The list of Other Airline Partners is subject to change at any time and is available on the Air France and KLM websites.

Blue Credits: points obtained by the Member Company when purchasing tickets from Air France, KLM and Participating Airlines in accordance with the conditions described in BlueBiz Publications. The points can be used to obtain BlueBiz Awards.

Participating Airlines: airlines participating in the BlueBiz Program and using it as a program exclusively intended for businesses. It is possible to earn Blue Credits and/or obtain BlueBiz Awards Tickets on flights operated by these airlines under the conditions described in BlueBiz Publications. The list of Participating Companies is subject to change at any time and is available on the Air France and KLM websites.

General Conditions of BlueBiz: the present General Conditions govern the relations between Air France and KLM, and the Member Company.

Date of entry into force: date on which the Member Company enters the BlueBiz Program and on which the terms of the agreement enter into force and are communicated to the Member Company by Air France and KLM by means of a confirmation e-mail.

Employee: a person working as a salaried worker or a contractor within the Member Company.

Award Paid Options: paid options sold by Air France and KLM which can be purchased using Blue Credits. These services are linked to the booking and/or purchase of a ticket for a flight operated by Air France, KLM or BlueBiz Participating Airlines, and are subject to the offer limit of each Company.

Country of membership: the country in which the Member Company (which has a registration number under the Trade Register of the country of establishment) is established and joined the BlueBiz program.

BlueBiz Awards: BlueBiz Awards, Award Paid Options and Other BlueBiz Benefits that can be obtained using Blue Credits.

Award Paid Options: paid options listed in BlueBiz Publications, issued by Air France and KLM, which can be purchased with Blue Credits and used on flights operated by Air France and KLM.

BlueBiz Program or BlueBiz: the Air France and KLM program reserved for companies whose Employees travel on flights operated by Air France, KLM, and Participating Airlines. Member Companies can earn Blue Credits and exchange them for BlueBiz Awards.

BlueBiz Publications: general term for communication methods used regularly by BlueBiz to provide updates concerning the BlueBiz program, such as the BlueBiz sections on the websites of Air France, KLM and Participating Airlines, and BlueBiz e-mails.

BlueBiz Customer Reference: BlueBiz account number created by Air France and KLM and communicated to the Member Company when it accepts the General Conditions of BlueBiz. This reference must be used for all tickets issued for the Member Company account.

BlueBiz Statement: Statement that lists all operations performed by the Member Company within the BlueBiz Program and shows the total number of Blue Credits.

BlueBiz Customer Service: service available for any questions or enquiries the Member Company may have regarding the BlueBiz Program.

Member Company: a legal entity that has chosen to participate in the BlueBiz Program, fulfilled the required conditions, and accepted the General Conditions of BlueBiz.

2. General Information

2.1. Upon becoming a member of the BlueBiz Program, the Member Company declares its acceptance of the General Conditions of BlueBiz and agrees to respect them. Air France and KLM reserve the right to delete or alter the General Conditions, particularly if they relate to the Blue Credits earning scale, and also to terminate the BlueBiz Program in its entirety. Notification of changes made to the BlueBiz Program, including changes to the General Conditions, will be made via the BlueBiz Publications and will be effective upon notification by Air France and KLM. It will be assumed that the Member Company accepts the changes if it does not send a written claim to Air France and KLM within 30 days and/or if it uses its BlueBiz account, earns Blue Credits, or requests a BlueBiz Award Ticket in the BlueBiz Program framework during this period. If a Member Company: does not accept a change, it can terminate its contract as outlined in 2.2. Air France and KLM agree to take all necessary measures to inform the Member Company of changes made to the BlueBiz Program or its termination, but Air France and KLM will not be responsible for any resulting loss or damage.
2.2 If a Member Company wishes to terminate its contract, it must inform Air France and KLM immediately and will no longer earn Blue Credits. Blue Credits earned previously can be used within 8 months of contract termination.
2.3. If Air France and KLM terminate the BlueBiz Program, the Member Company will no longer be able to earn Blue Credits once it has been notified of the termination. In this case, Blue Credits earned previously can be used within 6 months following the termination of the BlueBiz Program.
2.4 The sale, purchase, brokerage, resale, barter or exchange of Blue Credits and BlueBiz Awards in exchange for any compensation is prohibited. Any violators, including passengers using a BlueBiz Award Ticket, shall be liable for damages, attorneys’ fees and court costs.
2.5 In case of false declaration, fraud, violation of the present General Conditions, or improper use of the BlueBiz Program, including failure to follow the BlueBiz Program policies and procedures or instructions from Air France and KLM employees, improper management on the part of the Member Company by its Administrator and/or Employees, including inappropriate or aggressive behavior towards Air France, KLM, Participating Airlines and/or companies affiliated with Air France and/or KLM, Air France and KLM reserve the right to immediately:

(i) terminate the contract concluded with the Member Company

(ii) nullify the BlueBiz Statement, thus nullifying all Blue Credits earned and BlueBiz Awards

(iii) and when appropriate, request the payment by the Member Company of the full applicable fare for any segment traveled or Award Paid Options used with BlueBiz Awards that have been fraudulently acquired.

If the Member Company transfers its head office outside of the Country of Membership or if the Member Company ceases its activity for liquidation, or for any other reason, Air France and KLM reserve the right to terminate the contract with immediate effect and/or nullify the BlueBiz Statement and all Blue Credits earned.
2.6. If a Member Company does not earn any Blue Credits over a period of 36 months, Air France and KLM reserve the right to terminate the contract with the Member Company.
2.7. Air France and KLM will use BlueBiz Publications to inform the Member Company of all possible options for converting Blue Credits into BlueBiz Awards which are subject to availability and to a capability check at the time of booking. Air France and KLM reserve the right to impose additional conditions at any time for obtaining BlueBiz Awards, in particular the right to make changes to and/or to increase the number of Blue Credits needed. Air France and KLM will actively verify that the BlueBiz Awards presented to the Member Company as available are indeed available. However, Air France and KLM can neither guarantee nor ensure that the above-mentioned advantages will be available.
2.8 The KLM conditions of carriage, as registered with the Court of The Hague, are applicable to all KLM flights and can be found on www.klm.com. The Air France conditions of carriage are applicable to all Air France flights and can be found on www.airfrance.com.
For flights operated by Participating Airlines and Other Airline Partners, the conditions of carriage for the concerned airline will apply.

3. Membership conditions

3.1. Only companies that have not already concluded (and/or are not currently negotiating or concluding) a Commercial Agreement and whose head offices are located in the Country of Membership can sign up for the BlueBiz Program. The Member Company will need to designate an Administrator during the membership process. This Administrator should be an Employee of the company that has signed the BlueBiz contract.
The company will need to complete the membership form available on Air France, KLM, Participating Airlines websites, or at a Travel Agency. In addition, the company must accept the present General Conditions. Any Employee that has submitted a membership request form for his or her company confirms that the company has provided authorization.
The Administrator’s email address must be provided during the membership process. All communications concerning BlueBiz Program will be sent to this e-mail address. The Member Company must inform Air France and KLM as quickly as possible if any changes need to be made to the BlueBiz Program contract (name, e-mail address, etc).
3.2. By joining the BlueBiz Program, the Member Company accepts to receive BlueBiz communications related to the operations and development of the BlueBiz Program. The Member Company is responsible for providing Air France and KLM with a correct e-mail address, postal address and the name of the Administrator in order to obtain its BlueBiz Customer Reference, password and receive BlueBiz communications. If a Member Company changes its e-mail address, postal address and/or Administrator, the Member Company must notify Air France and KLM in writing or by using the BlueBiz pages on the websites of Air France, KLM or Participating Airlines, without delay.
3.3. A company must only submit 1 application form for the BlueBiz Program and will obtain only 1 BlueBiz Customer Reference.
3.4. Travel agents (and affiliates) or travel organizations are not allowed to sign up for the BlueBiz Program. Employees of a Travel Agency will not be accepted as Administrators on behalf of a Member Company.
3.5. Once the membership procedures have been completed, Air France and KLM will verify that the conditions to join the BlueBiz Program have been met and will inform the Administrator as soon as possible of the company’s acceptance or refusal by email. The Member Company is responsible for the use of its BlueBiz Customer Reference and password. Only 1 BlueBiz Customer Reference will be issued per company. Air France et KLM reserves the right to refuse the registration of any company that does not fulfil the required conditions to join the BlueBiz Program.
3.6. The BlueBiz account cannot be transferred, and the Administrator must inform Air France and KLM immediately of a change of address of the Member Company, the transfer of its head office outside the Country of Membership, or the termination of its activities (liquidation, etc.)

4. Conditions for earning Blue Credits

4.1. The Member Company can earn Blue Credits on flights operated by Air France, KLM and Participating Airlines as well as Other Airline Partners according to the conditions stated in the BlueBiz Publications. Blue Credits will be awarded to the Member Company based on the Blue Credits earning scheme in force on the date of the said flight, provided that the following conditions have been met:

(i) the ticket has been paid for by the Member Company and has been issued under the name of one of its Employees

(ii) the booking class and fare indicated on the ticket have not been excluded from the BlueBiz Program

(iii) the BlueBiz Customer Reference was communicated the the moment of booking and registered before the ticket was issued.

Blue Credits will be awarded only after the flight has been flown. BlueBiz Awards do not qualify to earn Blue Credits.
4.2. Flying Blue Award tickets (or any other individual loyalty program of a Participating Airline) do not qualify to earn Blue Credits.
4.3. Blue Credits are valid for 2 full calendar years from the date on which they are credited to the BlueBiz Statement, and are subject to the conditions defined in Article 2 above.
4.4. Blue Credits cannot be divided and have no commercial exchange value; they cannot be reimbursed at their monetary value, and they cannot be transferred nor assigned to another BlueBiz account of the same Member Company. In the case of a merger or purchase of the Member Company, Blue Credits can only be transferred to another BlueBiz account with the written agreement from the BlueBiz Customer Service. Blue Credits will be credited to the corresponding BlueBiz account 6 to 8 weeks after the trip, subject to extra handling time by Air France and KLM.
4.5. If the BlueBiz Customer Reference is not communicated during booking, the Administrator can ask for these unclaimed Blue Credits up to 6 months after the flight on the Air France and KLM websites.
4.6. Tax requirements and/or financial requirements related to BlueBiz and/or resulting from the use of BlueBiz Awards are the responsibility of the Member Company.
4.7. Some special fares do not qualify to earn Blue Credits and are excluded from the BlueBiz Program by Air France and KLM and Participating Airlines. BlueBiz earning scales are provided on Air France, KLM and Participating Airlines websites. BlueBiz earning scales are provided on the websites of the Air France, KLM and Participating Airlines.

5. Conditions for using Blue Credits

5.1. Except for other explicitly indicated cases, Blue Credits can only be exchanged by the Administrator for BlueBiz Awards available in the BlueBiz Program in the name of an Employee of the Member Company; they cannot be exchanged for money, Flying Blue Miles, or other advantages obtained through loyalty programs.
5.2. Blue Credits can be exchanged for BlueBiz Awards on the websites of Air France and KLM within the Country of Membership (metropolitan France), in accordance with the procedures described in the BlueBiz Publications.
5.3. BlueBiz Awards can be obtained, depending on flights and/or Award paid Options availability, the booking criteria indicated in BlueBiz Publications and a sufficient amount of Blue Credits. Electronic ticket details (e-tickets, vouchers for Award Paid Options) will be sent to the e-mail address listed in the BlueBiz Awards booking file. An e-mail will also be sent to the Administrator to confirm the amount of Blue Credits debited from the Member Company's BlueBiz account.
Air France and KLM are not liable for the loss of BlueBiz Awards.
5.4. Blue Credits can be exchanged for BlueBiz Awards at a public fare available on the websites of Air France, KLM and the Participating Airlines, who reserve the right to exclude certain booking classes.
5.5. An Administrator can change and/or cancel BlueBiz Awards by contacting the BlueBiz Customer Service, if the fare rules allow it.

Any requests for changes to BlueBiz Awards must be submitted to the BlueBiz Customer Service prior to the flight's departure, depending on the fare rules in force and the BlueBiz Customer Service's opening hours (closed during weekends and public holidays). Depending on the fare rules in force, there may be an adjustment (debit or credit) of Blue Credits.

In the case of a change and/or cancellation of BlueBiz Awards, a refund will be issued in the form of Blue Credits credited to the BlueBiz account of the Member Company. Refunds will not be given in cash.

6. Personal information

6.1. Personal information related to the participation of the Member Company and the Administrator ("Personal Information») in the BlueBiz Program will be managed and used by Air France and KLM in compliance with legal regulations on Data Protection set up by the European Directive 95/46, such as the Dutch law on Data Protection (“Wet Bescherming Persoonsgegevens") and the French law on Data Protection ("Loi Informatique et Libertés") of 7 January 1978, modified by a new law on 6 August 2004. KLM has informed the Dutch authorities on Data Protection ("College Bescherming Persoonsgegevens") of the handling of this Personal Information. Air France has informed the French authorities on Data Protection ("Commission Nationale Informatique et Libertés" - CNIL) of the handling of this Personal Information.
6.2. Personal Information will be used and exchanged between Air France, KLM, Participating Airlines and Other Airline Partners for the purposes of the BlueBiz Program. Furthermore, Personal Information will be used for direct marketing and communications by Air France, KLM, Participating Airlines and Other Airline Partners. If the Administrator does not want to receive information on products and services, he can inform the BlueBiz Customer Service at any time. The Administrator also has the right to access and modify any of his or her personal information.

7. Audit

7.1. Air France and KLM reserve the right to verify the validity of the Member Company's participation in the BlueBiz Program at any time, without informing the Administrator beforehand. These verifications aim to allow Air France and KLM to guarantee compliance with the conditions of the BlueBiz Program and detect fraud.
7.2. Upon the request of Air France and KLM, and in order to check the eligibility of any ticket on which Blue Credits are earned or of any person benefiting from BlueBiz Awards, the Member Company should be able to provide:

(i) valid proof of identity

(ii) proof that the tickets were paid by the Member Company and were issued in the name of an Employee of the Member Company

(iii) any other documentation to verify such eligibility.

Failure to do so within a reasonable period as set by Air France and KLM will automatically lead to suspension or termination of the contract with the Member Company, as indicated in Article 2.5
7.3. If irregularities and/or violations are observed during verification, Air France and KLM will be authorized to suspend the Member Company's right to earn and use Blue Credits, in a unilateral way, until Air France and KLM are satisfied that the irregularities and/or violations have been resolved. Air France and KLM are authorized to terminate the contract as indicated in Article 2.5.

8. Responsibility and applicable law

8.1. Air France, KLM and Participating Airlines cannot be held responsible for unauthorized membership and/or improper use of the BlueBiz Program and/or fraudulent acts committed by Administrators.
If an irregularity is found, the Administrator in question must immediately ask the BlueBiz Customer Service to block the Member Company's account.
The Member Company will be held responsible for any (alleged) improper use of the BlueBiz account, such as the unauthorized use of Blue Credits. Air France and KLM take no responsibility of any kind for damage, delays, loss, injuries, or deaths related to or resulting from the services or benefits provided or not by Air France, KLM, Participating Airlines and Other Airline Partners, unless these damages or losses are caused by negligence on the part of Air France or KLM or an intentional act while knowing that these damages could occur, except for other measures stipulated by the Warsaw Convention (amended version) or the Montreal Convention, depending on the case.
Air France and KLM cannot be held responsible for any loss or damage resulting from the termination of the BlueBiz program or any changes made to it.
8.2. The BlueBiz Program is governed by French law and any resulting litigation will fall into the exclusive jurisdiction of the Tribunal de Commerce of Paris, except for other measures outlined by applicable law notwithstanding the law and jurisdiction applicable to the contract. Local legislation may impede Air France and KLM from offering all or part of the BlueBiz Program in certain countries or to certain companies; Air France and KLM cannot be held responsible when acting in compliance with legislation and reserve the right to terminate contracts with Member Companies and/or nullify Blue Credits.
8.3. These General Conditions are prepared in the French language. Though translated, only the French version is legally binding.

9. Claims

9.1. All claims made by a Member Company concerning all or part of the BlueBiz Program must be submitted to the BlueBiz Customer Service. For claims concerning BlueBiz Awards, the Administrator must inform the BlueBiz Customer Service within 6 months after using the BlueBiz Awards.
9.2. Information concerning BlueBiz contacts is available on the websites of Air France, KLM and Participating Airlines.
